Supplemental Product Terms

By using the Weedmaps Products and/or Services for business purposes, you agree to be bound by the Weedmaps Commercial Terms of Use as well as these Supplemental Product Terms, the Weedmaps Privacy Policy, and any other terms or agreements that make up the WM Collective Terms of Service, as applicable. Capitalized terms used within these Supplemental Terms but not defined herein will have the meanings given to them elsewhere in the WM Collective Terms of Service. If you access or use any of the Weedmaps Products or Services on behalf of a business or commercial entity, that business will be deemed to have accepted these Terms.

To the extent that any Personal Data is provided by you to Weedmaps, or by either Weedmaps or a User accessing or using the Weedmaps Products and/or Services to you, the terms of the Data Processing Addendum referenced within the applicable subsection below will control with regard to the processing of such Personal Data.

1. Listings

Weedmaps may provide Businesses, including licensed operators of cannabis brick-and-mortar storefront locations, cannabis delivery services, cannabis cultivators, processors, manufacturers, or other brands, with the ability to create listings, Promotions (defined below), and premium placement services for use within the Weedmaps Services (together, the “Listing(s)”), as specified in an applicable Monthly Package and any Add-On Services requested.

Listings may include the ability to post information about your business, such as location, hours, contact methods, website and social media links, product inventory, and licensing information. You are solely responsible for the Listings may also include the ability to create Promotions, and/or to bid on premium placement services that may result in your business listing being displayed in a prioritized Listing position on one or more surfaces across the Weedmaps Products. Availability of Listings features may vary by geographic region and are subject to change in Weedmaps’ sole discretion.

If applicable, your Invoice may include the geographic region in which your Listing or any component thereof will appear, including any Promotion(s) or premium placement position(s) you have purchased, as of the time of your Monthly Package purchase.

Except for where we have otherwise specifically agreed in writing Weedmaps reserves the right, in its sole discretion, to set and re-prioritize Listings or Promotions and/or modify the methods we utilize to order such Listings at any time and for any reason. Where we have agreed in writing, we reserve the right to change your Listing position at any time, provided that you will receive at least 72 hours' prior written notice (such notice to be provided via email) prior to any such change.

2. Promotions

Weedmaps may provide features which allow you to create and post deals, offers, discounts, discount codes, promotion codes, and other various other types of promotions to the Website (including on https://weedmaps.com/deals), on your Listing, on the Apps, and on other places throughout the Weedmaps Products (collectively “Promotions”), in order to offer those Promotions to Users.

By creating a Promotion, you represent and warrant that the Promotion, as well all content created, made, or uploaded in connection with the Promotion (including promotion images and descriptions) (“Promotion Content”) will: (a) be true, accurate, and complete; (b) not be misleading, false, unfair, or deceptive; (c) contain any required disclosures, disclaimers, and/or warnings; (d) comply with all Applicable Law (including all applicable state and federal advertising laws, applicable privacy and data protection laws, and all regulations and laws related to Promotions); (e) not contain any material which violates our Acceptable Use Policy or which is otherwise unlawful, defamatory or obscene, or which infringes or violates any third-party rights (including any Intellectual Property rights or privacy or publicity rights); and (f) comply with any guidelines (including any image guidelines) provided to you during the Promotion creation process.

Should it come to Weedmaps’ attention that you are engaging in false advertising, or any other misleading or fraudulent practice in connection with a Promotion, Weedmaps may suspend or remove your ability to offer Promotions, or to use the Weedmaps Services entirely in its sole discretion.

You further represent, warrant and covenant to us that you are and will continue to be solely responsible for (i) the creation, development, and administration of any Promotion you create and all associated Promotion Content, and (ii) all underlying goods and services that may be provided to Users in connection with a Promotion. Promotions to be posted on the Weedmaps Products may be subject to the review and approval of Weedmaps’ staff or other moderation technology (in their sole and absolute discretion), however Weedmaps is not obligated to conduct such a review. We reserve the right to remove any Promotion from the Weedmaps Products at our sole discretion without notice, and to alter any Promotion Content, including to conform to technical specifications. Any breach of the terms contained in this Section constitutes a material breach of the Weedmaps Commercial Terms.

3. Orders

Weedmaps may provide features which allow you to enable Users to place orders for cannabis products, cannabis-related products, or other products (“Cannabis Products” or “Products”) for pickup or delivery, through (i) the Weedmaps Websites or Apps (“WM Orders”), or (ii) through an embedded module within your own Business website or a wm.store web domain (“WM Store Orders”) (collectively the “Weedmaps Orders Features” or “Orders”). The Weedmaps Orders Features, whether WM Orders or WM Store Orders, allow you to manage your order and delivery logistics via back-end software services, including, if applicable, tracking of the delivery drivers you engage to complete deliveries.

If you are accessing or using Orders, you represent that (i) you are a Business that is licensed by all applicable federal, provincial, state and local licensing authorit(y/ies) to utilize the Weedmaps Orders Features in every location where you operate, (ii) that your use of Orders to sell or provide Products to Purchasers will be conducted solely to the extent permitted by your license(s) and in accordance with applicable law, (iii) you are solely responsible for reviewing any Purchaser documentation as required by applicable law.

When listing Cannabis Products available for Orders, you agree that you will use commercially reasonable efforts to ensure that all Products you list (i) comply with all Applicable Law, and (ii) are authentic and the actual Products and brand they purport to be. Further, you agree to provide accurate pricing and tax information applicable to Products you list, and to sell Products at the price advertised, including any Promotions you have offered to Users.

The Weedmaps Orders Features are subject to the WM Orders Data Processing Addendum.

4. Delivery

Weedmaps may provide features which allow you to dispatch and deliver Cannabis Products to Users at the Users’ or other location, including through WM Dispatch (the “WM Delivery Features” or “Delivery”). The WM Delivery Features may also allow you to track orders and communicate with drivers, and to manage logistics related to deliveries.

If you are engaged in dispatching and delivering Products, you represent that (i) you are a Business that is licensed by all applicable federal, provincial, state and local licensing authorit(y/ies) to utilize the WM Delivery Features in every location where you operate, (ii) that your use of the WM Delivery Features to deliver Products to Purchasers will be conducted solely to the extent permitted by your license(s) and in accordance with applicable law, (iii) you are solely responsible for reviewing any Purchaser documentation as required by applicable law.

You agree that you will (i) maintain valid and active Licenses and provide updated License information to Weedmaps as needed; (ii) to the extent required by Applicable Law, review any documentation and originals thereof intended to facilitate verification of such Purchaser’s eligibility to purchase Products; (iii) determine whether any taxes apply to any Order placed with you by a Purchaser or applicable fees payable by you to Weedmaps, and collect, report, and remit the correct taxes to the appropriate tax authorit(y/ies).

The WM Delivery Features are subject to the WM Delivery Data Processing Addendum.

5. Reviews

Users may post reviews about Listings, Weedmaps’ Products and/or Services, your business, and/or the products and/or services that you offer via Listings (“Reviews”). We are not liable for the content of any Reviews. You will not, directly or indirectly, remove, alter, or reorder the Reviews or perform any other action prohibited under the Acceptable Use Policy. You may flag reviews to us which you believe violate our Review policies by contacting your Weedmaps sales or customer service representative. Reviews may only be removed by us and within our sole and exclusive discretion. Neither you nor anyone acting on your behalf may submit a review for any of your Listings, in accordance with the Acceptable Use Policy.
